Donation T&C

Project SMILE Limited (“PS”) Donation Terms and Conditions ("Terms")

1.    DEFINITIONS 

1.1    The following terms shall have the meanings set out below: 

“Donor” means any person that makes a Donation to PS; and

“Donation” means a contribution, grant, testamentary disposition and/or any other moneys from a Donor that PS receives.

 

2.    STANDARD TERMS

These Terms set out the basis on which PS may receive and use Donations and govern each Donation to PS that is made by a Donor.

 

3.    DONATION

3.1    All Donations are irrevocable and non-refundable.

3.2    PS reserves the right in its sole and absolute discretion, to reject any Donation without giving any reason. 

4.    DONATION PURPOSE

4.1    All Donations are unconditionally made and may be utilised by PS in such manner, for such period, and towards such purpose, as PS may determine in accordance with its Constitution and all applicable laws. 

4.2    PS’s acceptance of any Donation shall not imply an obligation to continue to make available any programme or activity.

 

5.    RECEIPT

PS will only issue a receipt for amounts actually received and cleared, net of all banking charges.

 

6.    WARRANTIES

6.1    PS makes no representations or warranties to the Donor. In particular, PS does not warrant that it will remain a charity, or that it will remain in operation in its present or any form.


7.     OTHER PROVISIONS

7.1    No waiver of any provision of these Terms constitutes a waiver in respect of any other provision.

7.2    If any provision of these Terms is held to be or becomes invalid or unenforceable in any respect it shall have no effect in that respect, and the remaining provisions shall continue in full force and effect.

7.3    Nothing in these Terms is or shall be deemed to constitute a partnership between PSand the Donor. 

 

8.    COSTS AND EXPENSES

8.1    The Donor shall bear all costs and expenses in respect of the transfer of the Donation to PS.

 

9.    GOVERNING LAW 

9.1    These Terms are governed by and construed in accordance with the laws of Singapore.
